Terms of Use

1. Acceptance of terms

By creating an account or using the zelios service (the "Service"), available at zelios.app, you agree to be bound by these terms of use (the "Terms"). If you do not agree to these Terms, please do not use the Service.

The Service is operated by Félix-Olivier Cloutier ("we", "us", "our").

2. Description of the service

zelios is a tool that automatically classifies photos using labels defined by the user. The Service is offered on a freemium model with a free plan and a paid subscription plan ("Premium").

3. User account

• You must provide a valid email address to create an account, or sign in through a third-party provider (Google).
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

4. Acceptable use

By using the Service, you agree not to:

• Upload content that is illegal, defamatory, or infringes on the rights of a third party (including photos you do not have the right to use)
• Attempt to gain unauthorized access to the Service, its servers, or other users' accounts
• Use the Service for reverse engineering, unauthorized resale, or in a manner that harms its proper functioning
• Upload files containing viruses or malicious code

We reserve the right to suspend or terminate any account that violates these rules.

5. User content

• Ownership: you retain all ownership rights to the photos and content you upload to the Service.
• License granted: by uploading content, you grant us a limited, non-exclusive license to host, process, and display that content solely to the extent necessary to provide the Service (i.e., classifying your photos).
• We do not use your content for any other purpose (marketing, training third-party models, resale, etc.) without your explicit consent.
• You warrant that you hold the necessary rights to any content you upload.

6. Subscription and payment

• The Premium plan is billed on a recurring basis (monthly or annually, depending on the plan chosen) through our payment processor, Stripe.
• Payments automatically renew at the end of each billing period, unless cancelled by you before the end of the current period.
• You may cancel your subscription at any time from your account page. Cancellation takes effect at the end of the current billing period — you retain access to Premium features until that date.
• Refunds: No refunds are offered, including for billing periods already in progress. You may cancel your subscription at any time to prevent future renewal, but amounts already billed are non-refundable.
• We reserve the right to modify our pricing. Any pricing change will be communicated to you in advance and will only apply to future billing periods.

7. Intellectual property of the service

The Service, including its code, design, trademarks, and content (excluding content uploaded by users), remains the exclusive property of Félix-Olivier Cloutier. Any unauthorized reproduction or use is prohibited.

8. Service availability

We strive to keep the Service available and functional, but do not guarantee uninterrupted or error-free access. The Service is provided "as is" and "as available," without warranty of any kind.

9. Limitation of liability

To the extent permitted by applicable law, Félix-Olivier Cloutier shall not be liable for any indirect, incidental, special, or consequential damages resulting from the use or inability to use the Service, including, without limitation, loss of data or profits.

Our total liability to you, for any cause whatsoever, shall not exceed the amount you paid for the Service during the preceding twelve (12) months.

10. Termination

• You may stop using the Service and delete your account at any time.
• We reserve the right to suspend or terminate your access to the Service in the event of a violation of these Terms, with or without prior notice depending on the severity of the violation.

11. Changes to the terms

We may modify these Terms from time to time. Material changes will be communicated to you by email or through a notice on the Service. Continued use of the Service after a modification constitutes your acceptance of the new Terms.

12. Governing law

These Terms are governed by the laws of the province of Quebec and applicable federal laws of Canada, without regard to conflict of law principles. Any dispute shall be subject to the exclusive jurisdiction of the courts of Quebec.
